OwambeOS Terms and Conditions of Service
These Terms and Conditions of Service (“Terms”) govern the use of the OwambeOS platform and all related products and services provided by Bridgepoint Studio Limited (“Bridgepoint”, “we”, “our”, or “us”).
By accessing or using OwambeOS, you acknowledge that you have read, understood and agree to be legally bound by these Terms.
1. Definitions
For the purposes of these Terms:
Platform means the OwambeOS software platform, websites, mobile applications, APIs, dashboards and related services.
Company means Bridgepoint Studio Limited.
Planner means the individual or organisation creating and managing an event.
Client means the person or organisation engaging a Planner.
Guest means any invited attendee, visitor, participant or user interacting with an event.
Vendor means any third-party supplier participating in an event.
Workspace means the digital environment allocated to a Planner.
Event means any celebration, ceremony, meeting, conference or activity managed through OwambeOS.
Paid Event means an event requiring payment before attendance or access.
Microsite means the event website automatically generated by OwambeOS.
Digital Assets include invitations, QR codes, guest passes, seating plans, photographs, livestreams, digital gifts, digital spraying, event content and all digital materials generated through the Platform.
2. About OwambeOS
OwambeOS is a digital operating system for African celebrations.
The Platform enables event organisers and planners to manage:
- Guest registration
- Invitations
- RSVP management
- Seating allocation
- QR access control
- Digital check-in
- Vendor management
- Communications
- Event microsites
- Digital gifting
- Digital spraying
- Paid event ticketing
- Livestream integration
- Guest engagement
- Reports and analytics
- Additional event technologies introduced from time to time.
3. Eligibility
You may only use the Platform if:
- you are legally capable of entering into binding contracts;
- all information supplied is accurate;
- you have authority to act on behalf of any organisation you represent;
- your use complies with applicable laws.
Users under 18 may only use the Platform with the consent of a parent or legal guardian.
4. Account Registration
Users are responsible for:
- maintaining accurate account information;
- safeguarding passwords;
- restricting access to their accounts;
- all activity occurring under their accounts.
Bridgepoint may suspend or terminate accounts where false information, fraud or misuse is identified.
5. Platform Licence
Bridgepoint grants Users a limited, revocable, non-exclusive and non-transferable licence to access and use OwambeOS solely for legitimate event management purposes.
No ownership rights are transferred.
6. User Roles
Different users may have different permissions, including:
- Platform Administrators
- Workspace Owners
- Event Planners
- Event Team Members
- Clients
- Vendors
- Guests
- Scanning Officers
- Venue Personnel
Access is controlled by role-based permissions.
7. Paid Events
Where a Planner enables Paid Events, Guests may be required to:
- purchase admission;
- purchase optional services;
- purchase event packages;
- purchase add-ons.
Payments may include:
- admission fees;
- parking;
- insurance;
- merchandise;
- food packages;
- premium seating;
- digital gifts;
- optional services selected by the Planner.
Bridgepoint processes payments as a technology platform and is not the organiser of the event.
The Planner remains responsible for:
- ticket pricing;
- taxes;
- event delivery;
- refunds;
- cancellations;
- consumer obligations.
8. Event Microsites
OwambeOS may automatically generate an event microsite.
Planners may:
- customise branding;
- connect custom domains;
- publish event information;
- advertise events;
- collect guest registrations;
- receive payments;
- distribute invitations.
The Planner is solely responsible for all content published on the microsite.
9. Digital Invitations
Invitation delivery may include:
- SMS
- QR Codes
- Push Notifications
- Printed Passes
Delivery depends upon third-party networks.
Bridgepoint does not guarantee delivery times or receipt.
10. Communication Services
Communication credits may apply to:
- WhatsApp messages
- SMS
- Push notifications
Unused communication credits expire in accordance with the applicable commercial package.
Bridgepoint reserves the right to revise communication pricing where third-party costs change.
11. Digital Spraying
Digital spraying allows guests to make voluntary monetary contributions during events.
Bridgepoint:
- provides payment technology only;
- is not responsible for disputes regarding gifts;
- does not guarantee the amount raised;
- may deduct agreed transaction fees.
Planners remain responsible for distributing proceeds where applicable.
12. Digital Gifting
Guests may send gifts using integrated payment systems.
All gifts are final unless:
- required by law;
- refunded by the Planner;
- refunded under payment provider rules.
13. Payment Processing
Payments are processed through licensed payment service providers.
Bridgepoint does not:
- hold banking licences;
- provide financial advice;
- operate as a bank.
Settlement times depend upon payment partners.
14. Planner Responsibilities
Planners agree to:
- provide accurate event information;
- obtain all necessary permits;
- comply with venue rules;
- comply with tax obligations;
- comply with consumer protection laws;
- manage guest complaints;
- honour paid tickets.
Bridgepoint is not responsible for event execution.
15. Guest Responsibilities
Guests agree to:
- provide truthful information;
- use valid payment methods;
- respect venue rules;
- comply with applicable laws;
- refrain from fraudulent behaviour.
16. Vendor Responsibilities
Vendors are independent contractors.
Bridgepoint is not responsible for:
- quality of goods;
- delays;
- pricing;
- contractual disputes;
- damages caused by vendors.
17. QR Access Control
QR passes remain the property of Bridgepoint.
Users must not:
- duplicate QR codes;
- modify QR codes;
- sell unauthorised passes;
- share passes contrary to event rules.
Fraudulent QR codes may be blocked without notice.
18. Prohibited Use
Users must not:
- commit fraud;
- upload malicious software;
- reverse engineer the Platform;
- interfere with system security;
- harvest personal information;
- impersonate another person;
- violate intellectual property rights;
- use the Platform for illegal activities.
19. Intellectual Property
All Platform software, branding, logos, interfaces, source code, graphics and documentation remain the exclusive property of Bridgepoint or its licensors.
Nothing in these Terms transfers ownership.
20. User Content
Users retain ownership of content uploaded to the Platform.
By uploading content, Users grant Bridgepoint a worldwide, royalty-free licence to host, process, display and transmit such content solely for operating and improving the Platform.
Users warrant they have all necessary rights to upload such content.
21. Data Protection
Personal data shall be processed in accordance with:
- the Nigeria Data Protection Act, 2023;
- applicable data protection regulations;
- the OwambeOS Privacy Policy.
Where required, Planners act as Data Controllers and Bridgepoint acts as a Data Processor.
22. Third-Party Services
OwambeOS integrates with third-party providers including payment gateways, messaging providers, livestream platforms, mapping services and analytics providers.
Bridgepoint is not responsible for:
- outages;
- pricing changes;
- API failures;
- discontinued services.
23. Subscriptions and Packages
Commercial packages may include:
- event capacity limits;
- communication credits;
- storage limits;
- premium features;
- paid modules.
Bridgepoint may revise packages upon reasonable notice.
24. Fees
All fees are:
- exclusive of applicable taxes unless stated otherwise;
- payable in advance unless agreed otherwise;
- non-refundable except where required by law.
Failure to pay may result in suspension.
25. Refunds
Bridgepoint fees are generally non-refundable.
Refund requests relating to events must be directed to the Planner.
Payment processing fees may be non-refundable.
26. Platform Availability
Bridgepoint aims for high availability but does not guarantee uninterrupted operation.
Maintenance, upgrades and emergency work may temporarily interrupt services.
27. Security
Bridgepoint maintains commercially reasonable security measures.
Users remain responsible for:
- password protection;
- authorised access;
- device security.
28. Limitation of Liability
To the fullest extent permitted by law, Bridgepoint shall not be liable for:
- cancelled events;
- venue closures;
- weather disruptions;
- force majeure;
- guest behaviour;
- vendor failures;
- indirect losses;
- consequential damages;
- loss of profits;
- reputational damage.
Bridgepoint’s total liability shall not exceed the total Platform fees paid for the affected event during the preceding twelve (12) months.
29. Indemnity
Users agree to indemnify and hold harmless Bridgepoint, its directors, officers, employees and affiliates against all claims arising from:
- breach of these Terms;
- unlawful conduct;
- misuse of the Platform;
- infringement of third-party rights.
30. Suspension
Bridgepoint may immediately suspend accounts where:
- fraud is suspected;
- illegal activity occurs;
- security is threatened;
- payment defaults arise;
- these Terms are breached.
31. Termination
Users may close their accounts at any time.
Bridgepoint may terminate access where continued use presents legal, commercial or security risks.
Certain obligations survive termination, including payment obligations, intellectual property rights, confidentiality, limitation of liability and dispute resolution.
32. Force Majeure
Bridgepoint shall not be liable for delays or failures caused by circumstances beyond its reasonable control, including acts of God, war, civil unrest, pandemics, labour disputes, power failures, telecommunications failures, cyberattacks or governmental actions.
33. Governing Law
These Terms shall be governed by the laws of the Federal Republic of Nigeria.
34. Dispute Resolution
The Parties shall first attempt to resolve disputes through good-faith negotiations.
Where unresolved within thirty (30) days, disputes shall be referred to mediation.
If mediation fails, disputes shall be finally resolved by arbitration under the Arbitration and Mediation Act, 2023.
The seat of arbitration shall be Lagos, Nigeria.
The proceedings shall be conducted in English.
35. Changes to These Terms
Bridgepoint may update these Terms periodically.
Material changes will be communicated through the Platform or other appropriate means.
Continued use of the Platform after such changes constitutes acceptance.

37. Entire Agreement
These Terms, together with the Privacy Policy, Acceptable Use Policy, Cookie Policy, Commercial Terms and any applicable Order Forms or Service Level Agreements, constitute the entire agreement between the parties regarding the use of OwambeOS.
38. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
39. Waiver
No delay or failure by Bridgepoint to enforce any provision shall constitute a waiver of its rights.
40. Acceptance
By creating an account, accessing the Platform, purchasing a package, attending an event through OwambeOS, making payment through the Platform or otherwise using any OwambeOS service, you acknowledge that you have read, understood and agree to be bound by these Terms and Conditions of Service.
